Insight Global is looking for a Corporate Counsel, who will play a key role in supporting a client’s global business operations by providing legal counsel on corporate governance, mergers and acquisitions (M&A), commercial contracts, securities, and compliance matters. You will collaborate with cross-functional teams, including business development, finance, and operations, to ensure the company navigates complex legal challenges and opportunities in the semiconductor industry. The ideal candidate will have a background in corporate law, M&A, securities regulations, and business transactions, preferably with experience in the technology or semiconductor sectors.Responsibilities:?Commercial Contracts and Transactions: (50%)-Draft, review, and negotiate a wide range of commercial contracts, including master supply agreements, sales/distribution/reseller agreements, NDAs, vendor agreements and professional services agreements .-Support business teams in negotiating terms and conditions with suppliers, customers, and partners.-Ensure that contracts comply with applicable laws, company policies, and business objectives.?Securities and Public Company Matters: (25%)-Assist with SEC filings, including 10-K, 10-Q, 8-K, proxy statements, and other regulatory filings required for a publicly traded company.-Advise on securities law compliance, including insider trading policies, executive compensation, and shareholder proposals.-Support the preparation of earnings releases, investor relations materials, and other public disclosures.?Mergers and Acquisitions (M&A): (15%)-Provide legal support for M&A transactions, including due diligence, contract negotiations, and structuring of deals.-Draft and review merger, acquisition, joint venture, and other strategic partnership agreements.-Coordinate with internal teams and external legal counsel to ensure smooth transaction processes and alignment with corporate strategy.?Cross-Functional Collaboration: (10%)-Partner with cross-functional teams, including business development, finance, product, and operations, to ensure alignment of legal and business objectives.-Provide training on corporate governance, legal compliance, and other relevant topics for internal stakeholders.-Liaise with external law firms and service providers to support the company?s corporate legal matters.This position can offer a salary range of 195 – 230k, based on experience, with additional yearly bonuses.We are a company committed to creating diverse and inclusive environments where people can bring their full, authentic selves to work every day. An environmental engineering firm that specializes in the planning, design, and construction of water and wastewater facilities is looking to bring on a Building Mechanical CAD Designer. As part of the Building Services CAD team, you will work specifically on HVAC and Plumbing systems for projects related to both municipal and private sector water and wastewater treatment systems, including but not limited to major treatment plant expansions, regional water quality studies, and critical water reuse projects that will create sustainable and resilient water supplies for the world. The industries that this company primarily supports include public entities, data centers, semiconductor facilities, food and beverage companies, etc. This person will be responsible for a variety of project elements, including drafting, design, checking, and both 2D and 3D drawings. To integrate into the team efficiently, this person will need a strong background in Revit, including proficient skills that are ready to deploy. This role will be a 6-month contract-to-hire model, with the primary goal being a permanent conversion. This role can pay anywhere between $30-$45/hr, with permanent conversion salary coming in at or above that rate.
